Terms of Service

1. Agreement to Terms

By accessing or using the website, products, or services of NiaCraft Solutions ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

NiaCraft Solutions is an IT and digital services company based in Dar es Salaam, Tanzania, offering web development, design, hosting, software products, and related technology services.

2. Services

We provide professional IT services including but not limited to web design and development, branding and graphic design, API development and integration, IT support and training, social media management, and web hosting. We also offer software products such as NiaSMS, Orderly, and NiaEvents.

Specific deliverables, timelines, and pricing for custom projects are defined in separate proposals, statements of work, or service agreements agreed upon between you and NiaCraft Solutions.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information required for project delivery
  • Respond to requests for feedback and approvals in a timely manner
  • Ensure you have the rights to any content, logos, or materials you supply to us
  • Maintain confidentiality of any login credentials or access details we provide
  • Use our services and products in compliance with applicable laws in Tanzania and your jurisdiction

4. Payments & Billing

Unless otherwise agreed in writing, project fees are quoted in Tanzanian Shillings (TSh). Deposits may be required before work commences. Recurring services such as hosting, subscriptions, or support plans are billed according to the agreed billing cycle.

Late payments may result in suspension of services. We reserve the right to charge interest on overdue amounts where permitted by law.

5. Intellectual Property

Upon full payment for custom work, ownership of agreed deliverables (such as website designs, graphics, or custom code developed specifically for you) transfers to you, unless otherwise stated in your contract. NiaCraft Solutions retains ownership of proprietary frameworks, templates, tools, and pre-existing intellectual property used in delivery.

Our product names, logos, and software platforms (including NiaSMS, Orderly, and NiaEvents) remain the intellectual property of NiaCraft Solutions.

6. Product Usage

Use of NiaCraft software products is subject to these Terms and any additional product-specific terms. You may not reverse engineer, resell, or misuse our platforms. We may update, modify, or discontinue product features with reasonable notice where practicable.

7. Warranties & Limitations

We strive to deliver high-quality services and support. However, services are provided "as is" to the extent permitted by law. We do not guarantee uninterrupted or error-free operation of third-party platforms, hosting environments, or internet services outside our direct control.

To the maximum extent permitted by law, NiaCraft Solutions shall not be liable for indirect, incidental, or consequential damages arising from the use of our services or products.

8. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or personal information shared during the course of engagement, except where disclosure is required by law or with written consent.

9. Termination

Either party may terminate a service agreement according to the terms specified in the relevant contract. We may suspend or terminate access to our products or services if you breach these Terms, fail to pay fees, or engage in unlawful or abusive behaviour.

10. Governing Law

These Terms are governed by the laws of the United Republic of Tanzania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Tanzania, unless otherwise agreed in writing.

11. Changes to These Terms

We may update these Terms of Service from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated terms.
